1. Purpose of the Website

This website is published by Vincitore group s.r.o. to provide general information about the company and its business activity. Vincitore group s.r.o. trades crypto-assets in its own name, on its own account and at its own risk, using its own capital. This website is informational in nature and does not constitute an offer, solicitation, or invitation to the public to acquire, sell, or trade any crypto-asset, and does not provide access to any trading service, platform, or account.

2. Definitions

For the purposes of these Website Terms of Use ("Terms"):

• "Vincitore group s.r.o.", "we", "us", or "the Company" means Vincitore group s.r.o., registered in the Slovak Republic under ID 55 805 906.
• "Website" means the website located at vincitore.group.
• "Trading counterparty" means a third party with whom Vincitore group s.r.o. concludes a specific purchase or exchange contract for crypto-assets, acting as an equal party to that trade, not as a client of Vincitore group s.r.o.
• "Crypto-asset" has the meaning given to it under Regulation (EU) 2023/1114 (MiCA).
• "Marketplace" means a third-party platform on which Vincitore group s.r.o. may conclude trades with counterparties.

3. Regulatory Status

Vincitore group s.r.o. trades crypto-assets in its own name, on its own account and at its own risk, using its own capital, for the purpose of making a profit. It is not a crypto-asset service provider within the meaning of Regulation (EU) 2023/1114 (MiCA) and does not provide any of the following to third parties: custody or administration of crypto-assets; operation of a trading platform for crypto-assets; exchange of crypto-assets for funds or for other crypto-assets; execution of orders for crypto-assets on behalf of clients; placing of crypto-assets; reception and transmission of orders for crypto-assets on behalf of clients; advice on crypto-assets; portfolio management of crypto-assets; or transfer services for crypto-assets on behalf of clients.

4. AML/CFT Compliance and Counterparty Due Diligence

Vincitore group s.r.o. is an obliged person under Act No. 297/2008 Coll. on Selected Measures against the Legalisation of Proceeds of Criminal Activity and Terrorist Financing, as amended. Before settling a specific trade, and to the extent required by that Act or by the rules of the marketplace on which a trade is concluded, Vincitore group s.r.o. (or its identity verification provider on its behalf) may carry out identity verification and screening of the trading counterparty to that trade. This due diligence relates to the individual trade concerned; it is not, and should not be understood as, the onboarding of a customer to a service.

5. No Services Provided to Website Visitors

Browsing this website, or submitting an enquiry through it, does not create a client, customer, or service-provider relationship with Vincitore group s.r.o., and does not entitle any visitor to trade with, or receive any service from, Vincitore group s.r.o. Vincitore group s.r.o. does not open accounts for website visitors, does not hold funds or crypto-assets on behalf of any visitor, and does not manage any visitor's portfolio. Any trade concluded by Vincitore group s.r.o. is agreed and settled directly with a specific counterparty on a specific marketplace, on terms particular to that trade, not through this website.

6. Approved Centralized Third-Party Marketplaces

Vincitore group s.r.o. concludes trades with counterparties on established, independently operated centralized third-party marketplaces — that is, platforms that apply their own identity verification and compliance standards to their users — and, where relevant, records the settlement of each trade in accordance with the standards of the marketplace on which it is concluded. Vincitore group s.r.o. does not operate, control, or guarantee any such marketplace, and any use of a marketplace by a counterparty is subject to that marketplace's own terms and verification requirements, not to these Terms.

7. Prohibited Use of the Website

You must not use this website to: attempt to gain unauthorised access to any part of the website or its underlying systems; introduce any virus, malware, or other harmful code; scrape, harvest, or otherwise systematically extract content from the website; impersonate Vincitore group s.r.o., its representatives, or any other person; use the website for any fraudulent, unlawful, or misleading purpose; or misrepresent your relationship with Vincitore group s.r.o. to any third party, including by suggesting that Vincitore group s.r.o. is your service provider, broker, or exchange. See Annex 2 for further detail.

8. Intellectual Property

All content on this website, including text, graphics, logos, and layout, is the property of Vincitore group s.r.o. or its licensors and is protected by applicable intellectual property laws. No part of this website may be reproduced, distributed, or modified without our prior written consent, except as necessary for ordinary personal browsing.

9. Privacy and Data Protection

Our collection and use of personal data in connection with this website, and in connection with the due diligence described in Section 4, is described in our Privacy Policy. By using this website, you acknowledge that you have had the opportunity to review it.

10. Disclaimer of Warranties

This website and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including as to accuracy, completeness, or fitness for a particular purpose. Vincitore group s.r.o. does not warrant that the website will be uninterrupted or error-free. Nothing on this website constitutes financial, investment, legal, or tax advice, and nothing on it should be relied upon as such.

11. Limitation of Liability

To the maximum extent permitted under Slovak law, Vincitore group s.r.o. shall not be liable for any indirect, incidental, or consequential loss arising from your use of, or inability to use, this website. Nothing in these Terms limits any liability that cannot be limited or excluded under applicable Slovak law.

12. Amendments to These Terms

We may amend these Terms from time to time. Amendments take effect once posted on this page; the "Last updated" date above indicates when these Terms were last revised. Continued use of the website after an amendment constitutes acceptance of the amended Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Slovak Republic. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Slovak Republic.

Annex 1 — Risk Disclosure

Trading in crypto-assets involves significant risk, including:

• substantial price volatility;
• potential loss of value, up to total loss;
• changes in the legal or regulatory treatment of crypto-assets that may affect trading conditions;
• technical failures, cyber-attacks, or congestion on the underlying blockchain network;
• delays, errors, or failures on the part of third-party marketplaces used to settle trades.

Nothing on this website constitutes investment advice.

Annex 2 — Prohibited Misuse

In addition to Section 7, you may not use this website in connection with:

• unlawful activity of any kind;
• impersonation of Vincitore group s.r.o., its representatives, or any affiliated person;
• fraud, scams, or unsolicited solicitation of third parties;
• money laundering or terrorist financing;
• misrepresentation of Vincitore group s.r.o.'s business model — including describing it as a crypto-asset exchange, custodian, broker, or service provider;
• attempts to obtain unauthorised data from, or unauthorised access to, this website or its underlying systems.
